Welcome to Mindflow Learning Ltd (“we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our website [mindflowlearning.co.uk] (the “Site”) and any products or services purchased through it, including online learning courses, lesson packs, consultancy, books, ebooks, and event speaking services (“Services”). By using our Site or purchasing from us, you agree to these Terms. Please read them carefully.

2. Scope of Services
We provide:
- Digital Products: Online learning & development courses, lesson packs, ebooks.
- Physical Products: Books and printed materials.
- Services: Consultancy, training, workshops, and event speaking.
These Terms apply to all categories of products and services unless stated otherwise.
3. Intellectual Property
- All content (courses, videos, lesson packs, ebooks, books, consultancy materials, slides, and Site content) is owned by or licensed to Mindflow Learning Ltd.
- Purchases grant you a non-transferable licence for personal, organisational, or educational use only (depending on the licence purchased).
- You may not reproduce, resell, or distribute our content without prior written consent.
4. Orders and Payment
- Prices are shown in GBP (£), inclusive of VAT where applicable.
- Payment must be made in full before digital access, shipment of physical products, or delivery of services.
- Secure third-party payment providers are used. We do not store payment card details.
5. Digital Products (courses, lesson packs, Ebooks)
- Digital products are delivered electronically via download, login, or email.
- Access to courses or lesson packs may be time-limited (e.g., subscription-based) or perpetual, depending on the product purchased.
- By purchasing a digital product, you acknowledge that the 14-day cancellation right under UK consumer law does not apply once download or access has begun, unless faulty.
6. Physical Products (books)
- Books and other physical items will be shipped to the delivery address you provide.
- If you are a consumer, you have a statutory 14-day cooling-off period for returns, provided items are unused and in original condition.
- Return postage is your responsibility unless items are faulty.
7. Consulting, Training, Event Speaking
- Bookings will be confirmed in writing, including agreed fees, dates, and scope of services.
- Cancellations by clients must be made in writing:
- 30+ days before event: Full refund (minus admin fee if applicable).
- 15–29 days before event: 50% refund.
- Less than 14 days: No refund.
- If we are unable to deliver services due to unforeseen circumstances, we will either reschedule or provide a refund of fees paid.
- Travel and accommodation (if applicable) are chargeable unless otherwise agreed.
8. Refunds and Cancellations
- Digital Products: Non-refundable once accessed/downloaded.
- Physical Products: Refunds allowed under cooling-off rights or if faulty.
- Services: Subject to cancellation policy in section 7.
9. Licence of Use
When you purchase digital products (including courses, lesson packs, ebooks, or other resources), you are granted a non-exclusive, non-transferable licence to use the materials, subject to the following terms:
a) Individual Licence
- Licensed to one named individual (e.g. one teacher, trainer, or professional).
- Resources may be used for personal study, classroom teaching, or professional practice by the licence holder only.
- Materials must not be shared with colleagues, students outside the licence holder’s classes, or other organisations.
b) School/Organisation Licence
- Licensed to a single educational institution or business unit.
- Resources may be shared internally among staff within that institution or unit.
- Materials may not be shared with other schools, academies within a trust, or external organisations without a separate licence.
c) Multi-Site or Trust Licence
- If you wish to use resources across multiple campuses, schools, or business sites, you must obtain a multi-site licence or bespoke agreement with Mindflow Learning Ltd.
d) Restrictions
- You must not copy, resell, upload to public platforms, or otherwise redistribute our content.
- You may print resources for internal teaching, training, or study purposes, provided copyright notices remain intact.
- You may not modify the materials or remove our branding without prior written consent.
e) Duration
- Licences are either:
- Perpetual (for one-off purchases/downloads), or
- Time-limited (for subscriptions/online course access, as stated at purchase).
Mindflow Learning Ltd reserves the right to suspend or terminate access if these licence terms are breached.
10. Limitation of Liability
- Our materials and services are for educational and professional development purposes. Outcomes may vary depending on individual or organisational implementation.
- To the maximum extent permitted by law, we are not liable for indirect or consequential loss, including business interruption or loss of profit.
- Nothing in these Terms excludes liability for death, personal injury, or fraud caused by our negligence.
11. Privacy and Data Protection
Your personal information will be handled in accordance with our Privacy Policy (UK GDPR and Data Protection Act 2018 compliant).
12. Third-Party Links
Our Site may contain links to third-party websites. We are not responsible for their content, security, or practices.
13. Changes to Terms
We may update these Terms from time to time. Updates will be posted on this page, with the “Effective Date” updated accordingly. Continued use of our Site or services indicates acceptance of changes.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
